Article 01

Acceptance of Terms & Legal Framework

These Terms & Conditions of Service ("Terms") constitute a legally binding agreement between Alphaxine Solutions Pvt. Ltd. ("Alphaxine") and the enterprise entity or individual client ("Client", "you", or "your") accessing our services, websites, digital assets, or entering into commercial engagements with Alphaxine.

By accessing this website, executing a Statement of Work (SoW), or commissioning professional services from Alphaxine, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy & Data Protection Policy and any executed Master Services Agreements (MSAs).

Article 02

Scope of Professional Services

Alphaxine delivers enterprise digital consulting, custom software engineering, cloud infrastructure architecture, autonomous AI agents, business process automation (BPA), and system integration services.

Specific deliverables, project milestones, acceptance criteria, resource allocations, and fee schedules shall be set forth in individually executed Statements of Work (SoWs). In the event of any direct conflict between these generic Terms and the specific provisions of an executed SoW, the executed SoW shall govern solely with respect to that engagement.

Article 03

Intellectual Property Rights & Ownership

Alphaxine maintains transparent, enterprise-first intellectual property principles:

  • Client Deliverables Ownership: Upon full payment of contractually agreed fees, Client shall possess complete, sole, and unencumbered ownership of all custom deliverables, bespoke source code, proprietary algorithms, and architectural artifacts created specifically for Client under the governing SoW.
  • Alphaxine Pre-Existing IP: Alphaxine retains all rights, title, and interest in its pre-existing proprietary frameworks, architectural scaffolding, general knowledge, reusable libraries, and toolkits ("Pre-Existing IP"). To the extent Pre-Existing IP is incorporated into deliverables, Alphaxine grants Client a perpetual, royalty-free, non-exclusive, worldwide license to utilize, execute, and modify such IP solely as an integrated part of the deliverables.
  • Client Confidential Materials: All data, software, specifications, and business secrets provided by Client remain the exclusive property of Client at all times.
Article 04

Delivery Standards & CMMI Level 3 Maturity

All professional software engineering, architecture, and deployment services are governed by Alphaxine's CMMI-DEV Level 3 appraised maturity frameworks and ISO 9001:2015 certified quality management processes.

We adhere to disciplined sprint velocity controls, automated unit testing, continuous integration/continuous deployment (CI/CD) pipelines, quantitative peer code reviews, and documented milestone acceptance procedures to ensure uncompromising software quality.

Article 05

Confidentiality & Non-Disclosure Obligations

Each party agrees to hold all Confidential Information disclosed by the other party in strict confidence, exercising at least the same degree of care it employs to protect its own sensitive assets, but no less than reasonable care.

Confidential Information shall not be disclosed to any third party without prior written consent, except to authorized employees, subcontractors, and legal advisors with a strict need-to-know who are bound by non-disclosure agreements at least as protective as these Terms. Confidentiality obligations survive for five (5) years following engagement completion, and perpetually for proprietary trade secrets.

Article 06

Warranties & Service Level Commitments

Alphaxine warrants that:

  • All services will be performed in a professional, workmanlike manner conforming to the highest industry benchmarks by suitably trained and qualified engineering personnel.
  • Deliverables will substantially conform to the specifications documented in the applicable SoW for a warranty period of ninety (90) days post-acceptance.
  • Deliverables will not knowingly infringe upon any valid patent, copyright, trademark, or trade secret of any third party.
Article 07

Limitation of Liability

Except for gross negligence, willful misconduct, or breaches of confidentiality obligations, neither party shall be liable to the other for indirect, incidental, consequential, special, or punitive damages (including loss of profits, revenue, or business interruption), regardless of whether such damages were foreseeable.

The aggregate liability of either party arising out of or related to any specific Statement of Work shall not exceed the total fees paid or payable by Client to Alphaxine under that specific SoW during the twelve (12) month period immediately preceding the event giving rise to liability.

Article 08

Cybersecurity Standards & Compliance

Alphaxine enforces rigorous Information Security Management certified under ISO 27001:2022. In delivering services, we prohibit introduction of malicious code, trojans, ransomware, or unauthorized surveillance mechanisms. Client agrees not to utilize Alphaxine infrastructure, cognitive models, or cloud endpoints for unauthorized penetration testing, denial of service attacks, or unlawful activities.

Article 09

Term, Suspension & Termination

Either party may terminate an engagement or SoW upon thirty (30) days prior written notice if the other party materially breaches any provision of these Terms or the applicable SoW and fails to cure such breach within the thirty-day cure period. Upon termination, Client shall pay for all authorized services rendered and non-cancelable expenses incurred up to the effective termination date.

Article 10

Governing Law, Dispute Resolution & Jurisdiction

These Terms and all related commercial agreements shall be governed by, construed, and enforced in accordance with the laws of India, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be submitted to senior executive mediation in good faith. If unresolved within thirty (30) days, the dispute shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Kolkata, India, and the proceedings shall be conducted in the English language.
